Unilateral Non-Disclosure Agreement

This Unilateral Non-Disclosure Agreement (the "Agreement") is entered into as of [Date], by and between [Client's Company Name], hereinafter referred to as the "Disclosing Party," and Lean Travel Management B.V., based in The Netherlands, Chamber of Commerce number: 74058991, hereinafter referred to as the "Receiving Party." 

1. Definition of Confidential Information 

For the purposes of this Agreement, "Confidential Information" refers to any non-public data or information, oral or written, disclosed by the Disclosing Party to the Receiving Party, related to the benchmarking services provided in the field of business travel. 

2. Obligations of the Receiving Party 

The Receiving Party acknowledges the receipt of Confidential Information from Disclosing Party and agrees to: 

a. Maintain Confidentiality: The Receiving Party shall hold and maintain the Confidential Information in strict confidence and take all reasonable precautions to prevent unauthorized disclosure. 

b. Use for Authorized Purposes: The Confidential Information shall be used solely for the purpose of evaluating and providing benchmarking services related to business travel. 

c. Limit Access: The Receiving Party shall restrict access to the Confidential Information to the employees of Receiving Party only. 

3. Exclusions from Confidential Information 

The obligations of confidentiality shall not apply to information that: 

a. Was known to the Receiving Party prior to disclosure by the Disclosing Party. 

b. Is or becomes publicly available through no fault of the Receiving Party. 

c. Is independently developed by the Receiving Party without any reference to the Confidential Information. 

4. Duration of Confidentiality Obligations 

The obligations of confidentiality shall persist indefinitely, with no specified termination for this. 

5. No License or Ownership 

Nothing in this Agreement shall be construed as granting, either expressly or by implication, any license or ownership rights to the Receiving Party regarding the Confidential Information. 

6. Governing Law 

This Agreement shall be governed by and construed in accordance with the laws of the Netherlands. 

7. Miscellaneous 

This Agreement constitutes the entire understanding between both aforementioned parties and supersedes all prior discussions and understandings, whether oral or written, relating to the subject matter hereof. 

IN WITNESS WHEREOF, the Receiving Party, has executed this Unilateral Non-Disclosure Agreement as of the effective date.
